Terms of Service

These Terms of Service govern your access to and use of www.ownerized.com and any services provided by Ownerized (“Ownerized,” “we,” “us,” or “our”).

By using our website, requesting an audit, booking a call, or engaging Ownerized for services, you agree to these Terms. If you are using the website or services on behalf of a clinic, company, or other organization, you represent that you have authority to bind that organization.

Services

Ownerized provides AI visibility, search, content, profile, reputation, booking-flow, CRM, workflow, and AI implementation services for aesthetic clinics and related businesses.

Our services may include:

  • free AI visibility audits;
  • AI visibility monitoring;
  • SEO and AI search readiness;
  • treatment content and website content;
  • schema, technical, and local search improvements;
  • profile and reputation management;
  • social-to-booking systems;
  • CRM, form, booking, and follow-up workflows;
  • AI transformation consulting and implementation;
  • reporting, strategy, and operational recommendations.

Specific services, deliverables, timelines, fees, and terms will be set out in a proposal, statement of work, order form, invoice, or other written agreement between you and Ownerized.

Free Audits

Ownerized may offer free AI visibility audits.

Free audits are based on information available to us at the time of review, which may include public search results, AI-generated results, business profiles, website content, public reviews, public social profiles, directories, and other publicly available signals.

Free audits are provided for informational purposes only. They do not guarantee any ranking, traffic, visibility, inquiry, booking, revenue, or business outcome.

A free audit does not create a paid engagement, agency relationship, partnership, fiduciary relationship, or obligation to purchase services.

Client Engagements

Paid services are governed by the applicable proposal, statement of work, order form, invoice, or written agreement.

Unless otherwise stated in writing:

  • monthly plans begin with a 60-day initial commitment;
  • after the initial commitment, monthly plans continue month to month;
  • either party may cancel a monthly plan after the initial commitment by giving 30 days’ written notice;
  • fees are billed in accordance with the applicable proposal, invoice, or order form;
  • work may pause if invoices are overdue;
  • fees already earned or paid for completed work are non-refundable.

Fees, Billing, and Taxes

You agree to pay all fees described in the applicable proposal, invoice, order form, or written agreement.

Fees do not include applicable taxes unless expressly stated. You are responsible for all applicable taxes, duties, and governmental charges.

Late payments may result in paused work, delayed deliverables, suspension of access, or termination of services.

Ownerized may update pricing for future renewal periods or new scopes of work by providing notice or issuing a new proposal.

Your Responsibilities

To allow Ownerized to perform services, you agree to:

  • provide accurate and complete information;
  • provide timely access to required platforms, accounts, tools, and materials;
  • maintain appropriate permissions and authority to grant such access;
  • review and approve deliverables in a timely manner;
  • ensure that claims about your clinic, treatments, practitioners, qualifications, results, pricing, and services are accurate and legally compliant;
  • comply with applicable laws, regulations, professional rules, advertising standards, privacy obligations, and platform terms;
  • avoid providing patient health information unless a separate written agreement has been signed;
  • maintain your own backups of websites, accounts, content, and business data;
  • promptly notify Ownerized of any security, privacy, regulatory, or access concerns.

You are responsible for final approval of all content, claims, offers, treatment descriptions, before-and-after materials, testimonials, reviews, and advertising or marketing statements.

Healthcare, Aesthetic, and Advertising Compliance

Ownerized is not a medical provider, healthcare provider, regulated health professional, legal advisor, or compliance advisor.

Our services may involve marketing, visibility, operations, automation, content, or AI implementation for clinics, but we do not provide medical advice, clinical advice, legal advice, regulatory advice, or professional healthcare judgment.

You are responsible for ensuring that your clinic, practitioners, treatments, patient communications, advertising, reviews, testimonials, before-and-after photos, claims, consent practices, and privacy practices comply with applicable laws, professional rules, platform policies, and regulator guidance.

Ownerized may recommend marketing or operational improvements, but you are responsible for determining whether those recommendations are appropriate for your clinic and lawful in your jurisdiction.

Patient Information and Sensitive Data

You must not provide Ownerized with identifiable patient information, patient records, medical histories, treatment charts, intake forms, patient images, private patient messages, or other sensitive health information unless we have signed a separate written agreement specifically covering that information.

If a project requires access to patient-related systems, intake workflows, follow-up workflows, CRM records, booking systems, or internal clinic communications, additional privacy, security, health-information, and compliance terms may be required before work begins.

Ownerized may decline, pause, or limit work that involves sensitive information unless appropriate safeguards and agreements are in place.

Platform Access and Third-Party Services

Our services may require access to third-party platforms, such as website builders, hosting providers, analytics tools, Google Business Profile, search platforms, social media accounts, CRM tools, scheduling tools, form tools, review platforms, automation tools, AI tools, email tools, or directories.

You are responsible for:

  • ensuring you have authority to grant access;
  • complying with third-party platform terms;
  • maintaining account ownership;
  • paying third-party platform fees unless otherwise agreed;
  • managing platform security and permissions;
  • removing Ownerized access when no longer required.

Third-party platforms may change their features, pricing, algorithms, policies, terms, availability, or access rules at any time. Ownerized is not responsible for third-party platform changes, outages, restrictions, suspensions, data loss, or policy enforcement.

Approvals and Delays

Ownerized may require your review, feedback, access, or approval before completing work.

Delays in providing access, information, materials, approvals, or feedback may delay timelines and deliverables.

Unless otherwise agreed in writing, timelines are estimates and depend on timely cooperation, platform availability, scope complexity, and third-party systems.

Intellectual Property

Your materials

You retain ownership of materials you provide to Ownerized, including logos, brand assets, photos, videos, treatment information, website access, account data, and pre-existing content.

You grant Ownerized a limited license to use those materials as needed to provide services.

You represent that you have the rights and permissions needed to provide those materials to us.

Client deliverables

Subject to full payment of all applicable fees, Ownerized assigns to you the final deliverables created specifically for you under the applicable engagement, such as approved website copy, published content, reports, workflow documentation, or implementation materials.

Ownerized materials

Ownerized retains ownership of its pre-existing intellectual property, including methods, frameworks, templates, prompts, workflows, internal tools, know-how, processes, strategies, systems, audit formats, reporting structures, and reusable materials.

We may use our general knowledge, skills, experience, and reusable materials for other clients, provided we do not disclose your confidential information.

Feedback

If you provide suggestions, feedback, ideas, or recommendations about Ownerized, our website, or our services, you grant us the right to use that feedback without restriction or compensation, provided we do not disclose your confidential information.

Confidentiality

Each party may receive non-public information from the other party.

Each party agrees to use the other party’s confidential information only as needed to perform or receive services and to protect it using reasonable care.

Confidentiality obligations do not apply to information that:

  • is publicly available through no breach of these Terms;
  • was already known without confidentiality obligations;
  • is independently developed without use of confidential information;
  • is lawfully received from another source;
  • must be disclosed by law, court order, or governmental authority.

AI-Assisted Services

Ownerized may use AI-assisted tools to support research, analysis, drafting, planning, content development, workflow design, and service delivery.

AI-assisted tools may produce incomplete, inaccurate, outdated, or unsuitable outputs. Ownerized uses human review as part of its process, but you remain responsible for reviewing and approving all deliverables before publication or use.

Ownerized does not guarantee that AI-generated, AI-assisted, or AI-optimized work will be cited, recommended, indexed, ranked, displayed, or preferred by any AI assistant, search engine, answer engine, or platform.

Results Disclaimer

Search rankings, AI visibility, local visibility, profile reach, reviews, inquiries, bookings, conversion rates, and revenue depend on many factors outside Ownerized’s control, including:

  • search engine algorithms;
  • AI assistant behavior;
  • platform policies;
  • competitor activity;
  • clinic reputation;
  • patient experience;
  • website quality;
  • offer strength;
  • pricing;
  • location;
  • service demand;
  • review volume and quality;
  • advertising activity;
  • internal follow-up;
  • sales process;
  • operational performance.

Ownerized does not guarantee any specific ranking, AI mention, citation, traffic level, lead volume, consultation count, booking volume, revenue amount, or business result.

Website Use Rules

You agree not to:

  • use the website for unlawful purposes;
  • interfere with website security or operation;
  • attempt to gain unauthorized access to systems or accounts;
  • scrape, crawl, or copy the website in a way that harms performance or violates law;
  • submit malicious code, spam, or harmful content;
  • impersonate another person or organization;
  • misrepresent your affiliation with a clinic or business;
  • use the website or services to violate third-party rights.

We may restrict or block access to the website if we believe these Terms are being violated.

Testimonials, Case Studies, and Publicity

Ownerized will not publish your confidential information without permission.

Unless otherwise agreed, Ownerized may identify you as a client using your business name and logo in client lists, proposals, or marketing materials. We will seek your approval before publishing detailed case studies, performance metrics, testimonials, or sensitive business details.

You may opt out of logo use by contacting hello@ownerized.com.

Suspension and Termination

Ownerized may suspend or terminate services if:

  • invoices are overdue;
  • required access, information, or approvals are not provided;
  • you breach these Terms or another agreement;
  • continuing work would create legal, regulatory, security, privacy, ethical, or platform risk;
  • a third-party platform restricts access or changes requirements;
  • you request work involving sensitive information without appropriate agreements.

Either party may terminate an engagement for material breach if the breach is not cured within 15 days after written notice.

Termination does not relieve you of the obligation to pay fees earned or incurred before termination.

Sections that by their nature should survive termination will survive, including payment obligations, confidentiality, intellectual property, disclaimers, limitation of liability, indemnity, and governing law.

Disclaimers

The website and services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Ownerized disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.

Ownerized does not warrant that:

  • the website will be uninterrupted, secure, or error-free;
  • services will produce specific business results;
  • third-party platforms will remain available;
  • AI tools, search engines, or platforms will behave predictably;
  • content or recommendations will be free from all errors;
  • every issue affecting your visibility, marketing, or operations will be identified.

Limitation of Liability

To the maximum extent permitted by law, Ownerized’s total aggregate liability arising out of or relating to the website, services, or any engagement will not exceed the fees you paid to Ownerized for the specific service giving rise to the claim during the three months immediately before the event giving rise to liability.

Ownerized will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost bookings, lost opportunities, loss of goodwill, loss of data, business interruption, platform suspension, search ranking changes, AI visibility changes, or third-party platform issues, even if Ownerized was advised of the possibility of such damages.

Indemnification

You agree to defend, indemnify, and hold harmless Ownerized and its owners, employees, contractors, agents, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from:

  • materials, information, claims, or instructions you provide;
  • your clinic’s services, treatments, advertising, patient communications, or business practices;
  • your breach of these Terms or another agreement;
  • your violation of law, regulation, professional rule, or platform policy;
  • your misuse of the website or services;
  • patient, consumer, regulator, or third-party claims relating to your business;
  • unauthorized access or permissions you provide to Ownerized.

Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

The parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada for disputes arising out of or relating to these Terms, the website, or the services.

Changes to These Terms

Ownerized may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date.

Changes apply prospectively. Material changes affecting active paid engagements may also be communicated directly to clients.
